Experts from the DiXi Group presented the pilot edition of a new analytical report: “Corporate Governance in Ukraine’s State-Owned Energy Sector”, to international partners. The presentation was attended by representatives of partner countries’ embassies and international financial organizations.

Ukraine has largely completed the development of its corporate governance legislative framework, which has been positively assessed by the OECD. That is why, in this new analytical product, experts will examine how effectively these standards are being implemented in practice within the energy sector, where corporate governance, internal control systems, and oversight mechanisms remain critically important both for the sector’s own resilience of the sector itself and for the broader public administration reform.

The series of quarterly reviews will focus on four areas: 

  • monitoring developments in state-sector corporate governance;
  • analysis of key legislative and regulatory changes;
  • assessment of implementation challenges and governance gaps;
  • review of significant governance events and emerging practices.

This pilot issue provides a brief historical overview of corporate governance reform in Ukraine’s state sector. The second section of the document contains initial assessments of the performance of the supervisory boards of three state-owned companies that are strategically important to the sector, in accordance with the Cabinet of Ministers’ new Methodology No. 12 dated January 10, 2025. The key findings of the assessment highlight issues with the composition and competence of the boards, “weaknesses” in strategic planning and performance oversight, as well as shortcomings in internal control and risk management. 

The third section of the analysis examines the corruption scandal involving politically significant figures, known as “Mindichgate,” and its impact. For more details, see the issue.

The next steps will include regular issues of the review, a summary study, and a series of meetings with stakeholders.
